Terms and Conditions

Effective November 1, 2026

These terms are a binding agreement between you and Natalie Minh Management LLC, doing business as Natalie Minh Interactive (“we” or “us”). They apply to your use of natalieminh.com, to booking or attending a free call, and to anything else you receive through this website (together, the “Services”). By using the Services, you agree to these terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.

PLEASE READ THE “ARBITRATION AND CLASS ACTION WAIVER” SECTION CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS AND LIMITS YOUR RIGHT TO A JURY TRIAL OR A CLASS ACTION, UNLESS YOU OPT OUT.

Who may use the Services

You must be at least 18 years old and able to enter a binding contract. If you use the Services for a business, you confirm that you may accept these terms for it, and “you” includes that business. The Services are intended for business purposes.

Acceptable use

You agree not to:

  • Use the Services unlawfully, or in a way that infringes anyone’s rights
  • Interfere with the website or try to gain unauthorized access to it or its systems
  • Copy, scrape, or collect content by automated means, or use it to train artificial intelligence tools
  • Give false information, impersonate anyone, or send harmful code
  • Copy our materials or methods to build a competing product or service

We may change, suspend, or end any part of the Services, or refuse or end your access, at any time and for any reason, without notice or liability, to the extent the law allows.

Calls, coaching, and paid services

This website describes our services in general terms and is not an offer that you can accept to form a contract. Booking or attending a free call does not create a coaching, consulting, fiduciary, partnership, or employment relationship, and it does not obligate either of us to continue. We may decline to work with anyone, and we may reschedule or cancel a free call.

Paid services are provided only under a separate written agreement, proposal, or invoice. If it conflicts with these terms, it controls for those paid services. Where it does not address a subject, these terms apply. Services, availability, and prices may change at any time before you have agreed to them in writing.

Recording and note-taking

We may record or transcribe calls, including with artificial intelligence note-taking tools, to prepare notes and provide our services. By staying on a call after being told it may be recorded or transcribed, you consent. If you do not want this, tell us before the call starts.

Not professional advice

The Services provide general business education and coaching. They are not legal, tax, accounting, investment, securities, insurance, medical, or mental health advice, and we do not act as your attorney, accountant, financial adviser, broker, fiduciary, or therapist. Please consult a qualified professional before acting on anything that affects those areas.

You alone are responsible for your decisions, your business, your compliance with the law, and the results of what you do or do not do. This includes reviewing any suggestion, template, or AI-assisted material for accuracy and suitability before relying on it.

No guarantee of results

Testimonials, case studies, figures, and examples reflect individual experiences at a particular time. They are not typical or promised results and may not apply to you. Results depend on many factors outside our control, including your business, your market, your finances, and your own efforts. We make no guarantee of income, revenue, profit, growth, followers, leads, or any other outcome. Any business involves risk, including the loss of money.

Our content

All text, photographs, graphics, videos, frameworks, methods, names, logos, and other content in the Services belong to us or our licensors and are protected by intellectual property laws. We reserve all rights not expressly granted. You may view the website and share links to it for your personal, non-commercial use. You may not copy, republish, sell, record, adapt, or create works from our content without our written permission. Other names and logos belong to their respective owners, and their appearance does not imply an endorsement.

What you send us

You confirm that what you give us is accurate and that you have the right to share it. Please do not send confidential information unless we have agreed in writing to keep it confidential. You give us a non-exclusive, royalty-free right to use what you send in order to respond to you and provide and improve our services. We may use ideas and feedback for any purpose, with no obligation to you. If you give us a testimonial, you allow us to use it, with your name, business, and any image you provide, in our marketing, until you ask us in writing to stop using it in new materials.

Other websites and services

The Services may link to or use tools run by others, such as scheduling, video call, messaging, and payment services. We do not control them and are not responsible for their content, availability, security, or practices. Your use of them is at your own risk and under their terms.

Disclaimer of warranties

TO THE FULLEST EXTENT THE LAW ALLOWS, THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, CURRENT, OR ERROR-FREE, OR THAT THEY WILL MEET YOUR NEEDS OR PRODUCE ANY RESULT.

Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, WE AND OUR OWNERS, MEMBERS, MANAGERS, TEAM MEMBERS, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE WEBSITE OR A FREE CALL WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). UNLESS YOUR WRITTEN AGREEMENT SAYS OTHERWISE, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO PAID SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THOSE SERVICES IN THE THREE MONTHS BEFORE THE EVENT THAT LED TO THE CLAIM.

These limits apply to every legal theory and even if a remedy fails of its essential purpose. They are part of the bargain between us, and we could not offer free calls or our current prices without them. Nothing in these terms limits liability that the law does not allow to be limited, such as liability for fraud or willful misconduct.

Indemnification

To the fullest extent the law allows, you agree to defend, indemnify, and hold harmless us and our owners, members, managers, team members, contractors, and affiliates from third-party claims, and the resulting losses and expenses, including reasonable attorneys’ fees, that arise from your misuse of the Services, your business or your decisions, the information you give us, or your violation of these terms or the law. We may take over the defense of a claim, and you will cooperate with us.

Time limit for claims

To the fullest extent the law allows, any claim relating to the Services must be started within one year after it first arose. Otherwise, it is permanently barred.

Governing law

These terms are governed by the laws of the State of California, without regard to conflict-of-law rules, and, for the arbitration section, by the Federal Arbitration Act. Any court case that these terms allow must be brought only in the state or federal courts located in the California county of our principal office, and you and we consent to those courts’ jurisdiction. This does not take away any protection that the law where you live does not allow you to give up.

Arbitration and class action waiver

Try to resolve it first. Before starting a proceeding, you or we must send a written description of the dispute and the relief requested. Send yours to [email protected]. We will both try in good faith to resolve it within 60 days, and any time limit is paused during that period.

Binding arbitration. Any dispute that remains relating to these terms or the Services, including whether it must be arbitrated, will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules, available at adr.org, with one arbitrator. Hearings may be held by video, or in person in the California county of our principal office, or in your home county if the rules require it. Fees are paid as those rules provide. The arbitrator may award only the relief available in court and only to the individual party seeking it. Proceedings and results are confidential, except as needed to enforce an award or as the law requires.

Exceptions. Either of us may bring an individual claim in small claims court, and either of us may ask a court for an order to stop a misuse or infringement of intellectual property or a violation of confidentiality. Anything else that the law does not allow to be arbitrated goes to court.

CLASS ACTION AND JURY WAIVER. YOU AND WE EACH GIVE UP THE RIGHT TO A JURY TRIAL AND THE RIGHT TO BRING OR TAKE PART IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this waiver cannot be enforced for a particular claim or remedy, that claim or remedy, and only that one, goes to court after the rest has been arbitrated.

Your right to opt out. You may opt out of arbitration by emailing [email protected] within 30 days after you first accept these terms, with your name and a clear statement that you opt out. Opting out does not affect the rest of these terms.

Electronic communications

You agree that we may communicate with you electronically, and that these terms and electronic notices and records satisfy any requirement that they be in writing. Separate consent applies to marketing text messages, as described in our Privacy Policy.

Events beyond our control

We are not responsible for a delay or failure caused by events beyond our reasonable control, including illness, emergencies, internet or provider outages, and natural disasters.

Changes to these terms

We may update these terms at any time by posting a new version on this page with a new effective date. Your use of the Services after that date means you accept the update. Changes will not apply to a dispute that either of us has already given notice of.

General

These terms, and any separate written agreement for paid services, are the entire agreement between us about their subject and replace earlier statements on it. If any part cannot be enforced, it will be limited as little as needed, and the rest stays in effect. If we do not enforce a term, we have not given up the right to enforce it later. You may not transfer your rights under these terms without our written permission. We may transfer ours, including in a sale, merger, or reorganization of the business. No third party has rights under these terms, except that the people named in the liability and indemnification sections may rely on them. Sections that by their nature should continue, including those on content, disclaimers, liability, indemnification, and disputes, continue after your use ends.
